Investor Agreement Overview
Welcome to Vexa Investments. Before you begin trading, we encourage you to review the key terms and conditions that govern your relationship with us as an investor. This section outlines our Transaction Agreement, trading rules, margin requirements, privacy commitments, and risk disclosures all designed to ensure transparency and security in your trading journey.
1. About This Agreement
By entering into this Transaction Agreement, you agree to the terms between Vexa Investments (“The Company”) and yourself (“The Investor”). This agreement remains valid indefinitely unless canceled by either party. Upon signing, you gain access to account services, trading tools, and the opportunity to participate in over-the-counter (OTC) leveraged forex and commodity trading.
2. Key Definitions
- Leverage: Allows you to open positions larger than your deposit by using margin.
- Account Balance: The net total of your deposits, profits, losses, commissions, and fees.
- Base/Counter Currency: The two currencies in a trading pair.
- Long/Short Position: Buying or selling based on market expectations.
- Swap: The cost or credit applied for holding positions overnight.
- Spread: The difference between buying and selling prices.
- Margin: The collateral required to open and maintain trades.
- Electronic Trading Platform: Our trading environment, powered by MetaTrader 5 (MT5).
Note: Even if these terms are not explicitly referenced in your account, they apply to your trading activity with us.
3. Opening an Account
To start trading, you must sign the Transaction Agreement and Risk Disclosure Form. Once reviewed and approved by our team, we’ll notify you when your account is active. The Company reserves the right to decline account activation even after documents are signed.
4. Placing Orders
Once your account is approved, you can place trades via:
- The MetaTrader 5 platform
- Signed written instructions
- Telephone, following identity verification
Inactive accounts (no trading, deposits, or withdrawals for 3 months) may be archived.
5. Order Types
- Market Order: Instant execution at current market price.
- Limit Order: Executes at a better price than the current market.
- Stop Order: Executes at a less favorable price to limit losses or enter trends.
- End-of-Day Order: Expires at midnight on the trading day.
- Good-Till-Canceled (GTC): Remains active until canceled by you.
6. Fees & Trading Costs
You are responsible for all trading-related fees, including:
- Commissions
- Swaps (overnight holding costs)
- Bank transfer and intermediary fees
We provide clear, upfront disclosure of all applicable costs before you begin trading. Please ensure you understand these charges before proceeding.
7. Margin & Collateral Requirements
- Full margin is not required to open trades.
- Initial margin must be deposited to open or hold positions.
- Maximum leverage is 1:400, agreed upon in writing.
- Collateral once deposited cannot be reversed or disputed.
- The Company does not guarantee loss limits or negative balance protection.
- If your account equity drops below 20% of the initial margin, positions will be closed automatically, starting with the most unprofitable.
- At 50%, a margin call warning is issued.
8. Privacy Commitment
By signing the agreement, you consent to our Privacy Policy, which ensures:
- Your personal data is securely stored and never shared without legal necessity.
- Data may be disclosed only to government or regulatory authorities as required.
- You can request access to your transaction history, balance, and payment records at any time.
9. Risk Disclosure
Leveraged trading involves significant risk. It allows for both greater profit potential and increased loss exposure.
Key risks include:
- Market volatility
- Exchange rate fluctuations
- Delayed executions or price gaps
- Lack of guaranteed stop-losses
- Changing government policies or new taxes
- You may lose more than your initial investment.
- Do not rely on promises of guaranteed returns.
- Confirm all fees and charges in writing before trading.
